ArvoFin Terms of Service

These Terms of Service (“Terms”) govern use of ArvoFin’s software platform and related services (the “Services”). By using the Services, your firm (“you” or “your firm”) agrees to these Terms. If you do not agree, do not use the Services.

1. The Services

ArvoFin provides software that lets advisory firms:

• Invite prospects or clients to upload or connect financial data.
• Analyze portfolio performance, risk, and efficiency.
• Generate personalized investment proposals and related presentation materials, and track recipient engagement with them.

The Services are a software tool for use by financial professionals. ArvoFin is not an investment adviser, broker-dealer, or fiduciary, and the Services do not constitute investment, legal, tax, or financial advice. Proposal content, portfolio analysis, and other outputs are tools to assist your firm’s professionals, who remain solely responsible for any advice or recommendation delivered to a client.

2. Your account and acceptable use

Your firm is responsible for controlling access to its account and for all activity under authorized credentials. Your firm agrees to:

• Maintain the confidentiality of login credentials.
• Ensure only authorized users access the platform.
• Use the platform only for lawful and authorized purposes.
• Not attempt to probe, breach, or degrade ArvoFin systems or services.
• Not misrepresent client data, firm information, or user identity.

3. Customer data and ownership

Your firm retains ownership of the client financial data it uploads or connects. By using ArvoFin, you grant us the limited rights needed to process, analyze, host, and display that data within your firm’s workspace and to generate proposals and analytics. We handle that data in accordance with our Privacy Policy and Data Processing Addendum. You are responsible for the accuracy of the data you submit and for having the rights and consents necessary to submit it.

4. AI-assisted outputs

The Services use AI-assisted processing to extract data from documents and help generate proposals. AI-assisted outputs may contain errors or omissions and are provided for professional review. Your firm is responsible for reviewing, verifying, and approving all outputs before relying on or delivering them. ArvoFin does not warrant the accuracy or completeness of AI-assisted outputs.

5. Professional and regulatory responsibility

Your firm remains responsible for complying with all applicable privacy, fiduciary, suitability, advertising, and supervisory obligations, including applicable SEC and state rules and the SEC Marketing Rule. ArvoFin is not responsible for the regulatory adequacy, suitability, or compliance of the proposals or materials your team chooses to deliver. Your firm is responsible for supervising and reviewing all materials generated through the Services before use with clients or prospects.

6. Fees and payment

Subscription fees, billing schedules, and related commercial terms are governed by your agreement with ArvoFin. Non-payment may result in suspension of access.

7. Service changes and termination

We may modify or discontinue platform features with reasonable notice. Either party may terminate as provided in the applicable agreement. On termination, your firm may request export of its data, and we will delete data in accordance with our Privacy Policy and Data Deletion Policy.

8. Warranties and disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ArvoFin does not warrant that the Services will be uninterrupted, error-free, or secure, or that outputs will be accurate or complete.

9. Limitation of liability

To the fullest extent permitted by law, ArvoFin is not liable for indirect, incidental, special, or consequential damages, or for loss of profits or data, arising from use of the Services.

10. Indemnification

Your firm agrees to defend and indemnify ArvoFin against third-party claims arising from its use of the Services or violation of these Terms.

11. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws provisions.
